Terms of Service
On this page
1. Introduction
Welcome to Tanqory, a software-as-a-service platform for building and managing online stores. These Terms of Service (“Terms”) are a legal agreement between you (the “User”) and Tanqory Inc., a Delaware corporation (“Tanqory”, “Company”, “we”, or “us”). By accessing or using Tanqory’s website, mobile applications (iOS and Android), or any related services (including our web builder, subscription billing system, App Store/marketplace, templates, and developer APIs), you acknowledge that you have read and agree to be bound by these Terms. If you do not agree, you must not use our services. This Agreement applies to all forms of access to Tanqory, whether via web or mobile app, and covers all functionalities offered.
Services Covered: Tanqory provides an all-in-one platform to create and run websites and online stores on a subscription basis (SaaS). Our services include a website/store builder, hosting, payment processing integrations, subscription billing, an App Store and template marketplace, and developer tools (APIs, SDKs, webhooks) for extending platform functionality. Tanqory is industry-agnostic and can be used by businesses across all sectors, with a focus on e-commerce and dropshipping solutions. By using our services, you confirm that such use is permitted in your jurisdiction and that you have the right and capacity to enter into this agreement.
2. Accounts and User Types
Eligible Users: To register an account or use Tanqory, you must be at least 18 years old (or the age of legal majority in your country) and legally capable of forming a binding contract. You may not use Tanqory if you are barred from doing so by the laws of your country or any applicable jurisdiction.
Business use: Tanqory is provided to merchants and developers for business purposes. By creating an account you confirm that you are acting for purposes relating to your trade, business, craft or profession. If mandatory law nevertheless treats you as a consumer, the rights that law gives you are not affected.
User Roles: Tanqory supports multiple types of users within its ecosystem, including but not limited to:
- Merchants / Store Owners: Individuals or businesses who register with Tanqory to create an online store (“Merchant”). The Merchant is the primary account holder responsible for managing the store and ensuring compliance with these Terms.
- End Users / Customers: Consumers who visit or make purchases from a Merchant’s online store powered by Tanqory (“End Users”). End Users are indirectly subject to certain provisions of these Terms (such as acceptable use) when interacting with Tanqory’s services (e.g., checkout). Merchants are responsible for their End Users’ activities on their store.
- Developers (Theme/App Developers): Third-party developers who design themes, templates, plugins or applications for use on the Tanqory platform. Developers may distribute or sell their Themes or Apps through the Tanqory Marketplace (App Store) subject to compliance with our Developer guidelines (see Section 6).
- Resellers / Affiliates: Partners who resell Tanqory’s services or refer new customers to Tanqory in exchange for commissions. Participation in any reseller or affiliate program requires a separate agreement or adherence to program terms provided by Tanqory.
- Internal Administrators / Contractors: Authorized personnel of Tanqory or its contractors who may access user accounts for purposes of technical support, maintenance, or enforcement of these Terms. (Note: While these roles exist for service operation, they are not external customers; any access to user data by Tanqory staff is governed by our Privacy Policy and is limited to legitimate purposes.)
Each user type must create an appropriate account and provide accurate, complete information during signup. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. If you allow employees or agents (“Staff Accounts”) to access your Merchant account, you are responsible for their actions and compliance with these Terms. Notify us immediately of any unauthorized use of your account or security breach. We are not liable for any loss or damage arising from your failure to secure your account.
3. Subscription Plans, Fees and Payment Terms
Subscription Model: Tanqory operates on a recurring subscription basis. When you register a store, you must select a plan (e.g., monthly or annual subscription) and provide a valid payment method. Subscription fees are charged in advance on a recurring cycle (e.g., every 30 days for monthly plans) and will automatically renew unless cancelled in accordance with these Terms. All fees for using our services are posted on our website or communicated to you during signup, and you agree to pay the fees applicable to your plan. We reserve the right to change plan prices or introduce new charges with prior notice (see Section 12 on modifications).
Free Trial: We may offer a free trial period for new signups on the Starter, Growth, Business, and Scale monthly subscription plans. The current trial duration, eligibility, exclusions, and the FTC / CA-ARL / EU-CRD / SG-CPFTA / UK-CRA operational compliance rules are set out in the Pricing Disclosure Policy (commerce/pricing-disclosure-policy.md) §11 and the canonical Pricing source-of-truth (_compliance/sources-of-truth/10-pricing.yaml#trial). If a free trial is granted, you will not be charged during the trial period; you must cancel your subscription before the trial period expires to avoid being charged. If you do not cancel by the end of the trial, your subscription will automatically convert to a paid plan and your provided payment method will be charged the applicable subscription fee. Only one free trial may be redeemed per customer (enforced by payment-method fingerprint and account email). Unused trial days are forfeited upon early subscription purchase.
Contracting and billing entity: Your agreement under these Terms is with Tanqory Inc. (Delaware, USA), which also bills all subscriptions and add-ons through its Stripe (US) account. Tanqory Inc. is also the sender of record for SMS/text messages sent to United States recipients through the platform's messaging features, as described in the Messaging Terms.
Recurring Charges: By subscribing to Tanqory, you authorize us (or our payment processor) to charge your payment method the subscription fee and any applicable taxes, transaction fees, or additional charges on a recurring basis. Fees and charges may include: (a) Subscription Fee (monthly or annual platform fee), (b) Transaction Fees (a percentage or fixed fee per transaction processed through Tanqory, if applicable), (c) Taxes (such as sales tax, VAT, GST as required by law, which will be added where applicable), (d) Marketplace Purchases (fees for any premium themes, templates, apps or microservices you choose to purchase through the Tanqory App Store or Template Marketplace), and (e) any other ancillary service fees (e.g., domain name fees or premium support, if you opt-in). All fees are charged in US dollars and are exclusive of taxes unless stated otherwise.
Refunds: Refunds, cancellations, and chargebacks for Tanqory services are governed by the Refund and Return Policy, which forms part of these Terms. In summary: (a) for business merchants on a recurring subscription, fees are generally non-refundable after a billing cycle has started and access continues to the end of the paid term without pro-rating; (b) consumer end-users in jurisdictions with statutory withdrawal rights (e.g., EU/UK 14-day right of withdrawal under Directive 2011/83/EU and UK CRA 2015) may exercise those rights for digital services that have not yet started or where no waiver of withdrawal was given; (c) refunds for billing errors, duplicate charges, or service failures covered by an SLA will be processed in accordance with the Refund and Return Policy and the applicable Order Form. Statutory consumer rights and mandatory local laws always prevail over this section to the extent they apply.
Late Payments: It is your responsibility to ensure that your billing information is up-to-date and that fees are paid on time. If we are unable to process payment using your provided method (e.g., card expiration or insufficient funds), we will notify you and may retry billing. If payment remains outstanding, Tanqory reserves the right to suspend or restrict your account (including taking your store offline) until all outstanding fees are paid in full. Suspension for non-payment does not relieve you of your obligation to pay amounts due. Tanqory may charge late fees or interest to the extent permitted by law on overdue amounts.
Taxes: All fees are exclusive of any taxes or duties imposed by taxing authorities. You are responsible for any such taxes (other than taxes on Tanqory’s income). Where required by law, we will collect applicable taxes from you and remit them to the authorities; these will be added to your billing amount and identified on your invoice. Where Tanqory or a Tanqory entity is required to act as a marketplace facilitator under applicable state or jurisdiction law for sales-tax collection and remittance, Tanqory will collect and remit such taxes as required.
Changes to Fees: Tanqory may modify its fees and charges or introduce new fees from time to time upon at least 30 days’ notice to you (for example, by email or notification through the admin dashboard). If you do not agree with the fee change, you must cancel your subscription before the new fees take effect. Continued use of the Service after the effective date of a fee change constitutes your agreement to the revised fees.
4. App Marketplace and Developer Tools
Tanqory App Store & Marketplace: Tanqory features a marketplace where third-party developers can offer plugins, extensions, applications (“Apps”), and design templates/themes to Merchants. These Apps and themes may either be free or paid. When you install or use a third-party App or theme, you may be subject to that third party’s terms and privacy policies in addition to Tanqory’s Terms. Tanqory does not own or fully control third-party Apps, and we do not guarantee their functionality, security, or suitability. Any purchase or use of third-party Apps is at your own risk, and Tanqory disclaims liability for third-party content or services provided via our marketplace. However, if you encounter an App that violates our policies or threatens the security of the platform, please notify us.
Developer API and SDKs: We offer Application Programming Interfaces (APIs), Software Development Kits (SDKs), and webhooks to enable developers to integrate with Tanqory or build Apps that interoperate with our Services. Use of our API or developer tools requires a Tanqory developer account and compliance with these Terms and any Developer Guidelines or API Terms we publish. By using the API or developing an App for Tanqory, you agree to the following developer requirements and restrictions:
- API Credentials: You must register and obtain API credentials (such as API keys or tokens) to use our APIs. You are responsible for maintaining the confidentiality and security of your API credentials and account login information. Do not share your API keys with any unauthorized third party. You agree to use the API only with your own credentials and not to circumvent the access controls. Tanqory may limit or revoke your API credentials at our discretion if misuse is detected.
- Permitted Use: Your use of the API and any development of Apps must be solely to provide functionality for Tanqory merchants or to enhance their use of Tanqory’s Services. You may not use the API for any activity that is outside the scope of Tanqory’s intended services or that violates any law or rights of others.
- Security and Performance: You agree not to engage in any activity that interferes with, disrupts, or harms the Tanqory platform or its security, or that accesses our systems in an unauthorized manner. This includes prohibitions on introducing malware, performing denial-of-service attacks, attempting to bypass API rate limits or restrictions, or scraping data in a way that violates our policies. You must ensure that your Application is efficiently coded and will not unduly burden or degrade the performance of Tanqory’s infrastructure.
- Data Privacy & Use: If your Application will access or process any personal data or user content from Tanqory, you must do so only with proper consent and in compliance with privacy laws. You may not use data obtained from Tanqory’s API for any purpose outside of providing services to the users of your Application. Developers should implement appropriate measures to protect any data fetched via the API, and promptly delete data if a user or Tanqory revokes consent.
- Compliance and Restrictions: You will adhere to any additional Developer Terms or guidelines we provide (for example, rules against creating apps that replicate core Tanqory features or that promote migrating users off Tanqory). Without limiting the foregoing, you shall not misuse Tanqory’s API for illicit activities, fraud, spamming, or to build competing platforms in a manner that infringes on Tanqory’s intellectual property. Tanqory reserves the right to review, approve, or reject any app submitted to our marketplace and to remove or disable any app that violates these Terms or poses harm.
- Developer Liability: You are solely responsible for your Application and its interactions with users. Ensure you have the rights to all code and content in your app. You agree to indemnify Tanqory for any claims or damages arising from your Application (see Indemnification in Section 10).
Security Audits: Tanqory may audit or review third-party Apps for security and compliance. If we detect a security vulnerability or policy violation in your Application, you must address it promptly. We may suspend or remove your Application from the marketplace until issues are resolved, and in serious cases, revoke your API access entirely.
No Unauthorized Integration: Apart from our published APIs and tools, you must not integrate or connect to Tanqory’s systems through unauthorized means (for example, scraping admin interfaces, using undocumented APIs, or impersonating Tanqory services). Such actions are strictly forbidden and may result in immediate suspension of your account.
5. User Content and Data
Your Content & Ownership: In the course of using Tanqory, Merchants and End Users may upload or provide content, including but not limited to text, images, product information, logos, videos, and other materials (“User Content”). You retain ownership of all User Content that you create or upload to Tanqory – we claim no ownership over your intellectual property. Your trademarks, logos, product data, and all other content you provide remain yours. However, by uploading or transferring content to our platform, you represent and warrant that you have all necessary rights and permissions to do so, and that your content does not infringe or violate any third-party intellectual property or privacy rights. You are solely responsible for the legality, accuracy, and quality of your content.
License to Tanqory: By using our service and uploading content, you grant Tanqory a worldwide, royalty-free, non-exclusive license to use, host, reproduce, modify, display, distribute, and adapt your content as necessary to provide the Services. This license is solely for the purpose of operating or improving the Service, for example: displaying your content on your online store, processing transactions, backing up data, or formatting content for display on mobile devices. You also agree that Tanqory may use, aggregate, and analyze information or data derived from your content (including store performance data and other metadata) in order to improve our services and develop new features or business strategies. For instance, we might analyze sales data across stores to inform product improvements or internal sales strategies. Any personal data within such content will only be used in accordance with our Privacy Policy and applicable data protection laws.
Data Analytics: Tanqory may collect anonymized and aggregated data about the usage of the platform (such as overall sales volumes, traffic, conversion rates, etc.). This aggregated data contains no personally identifiable information and is owned by Tanqory. We may use this aggregated data for purposes of analytics, marketing, or publishing industry insights. By using the Service, you permit us to compile and use such anonymized data, provided it is not attributable to you or any individual.
User Responsibility for Content: You are responsible for ensuring that User Content (including products you sell, descriptions, and any materials you upload) complies with all applicable laws and regulations. Prohibited content includes content that is illegal, fraudulent, defamatory, obscene, harassing, infringing, or otherwise objectionable. You agree not to upload or use Tanqory to store or transmit any content that: (a) you do not have rights to use, (b) is false or misleading, (c) violates any law or regulation (for example, export control laws or consumer protection laws), or (d) contains viruses, malware, or harmful code. We reserve the right (but do not assume the obligation) to remove any content that we determine violates these Terms or our policies, or that is deemed harmful to the platform or other users.
Data Privacy: Tanqory’s handling of personal information you input (for example, customer personal data) is governed by our Privacy Policy. You are considered the data controller of any personal data of your customers, and Tanqory acts as a data processor by processing such data on your instructions (through your use of the platform). You must comply with all privacy laws applicable to the personal data you collect from End Users (such as obtaining proper consents for email marketing, handling payment information securely, etc.). If you are subject to laws like GDPR, CCPA, or PDPA, you are responsible for ensuring compliance. Tanqory implements measures to help secure personal data, but we rely on you to use the tools in a compliant manner.
Retention and Deletion of Data: Upon termination of your account (see Section 8), we may retain your content and data for a limited period as necessary for our legitimate business interests or legal compliance, after which we will delete or anonymize the data. You have the ability to export your store data at any time during an active subscription, and we encourage you to regularly back up your content. Except as required by law, Tanqory has no obligation to retain your data after account cancellation or termination.
Section 230 of the US Communications Decency Act: Tanqory operates the platform as an interactive computer service for purposes of Section 230 of the United States Communications Decency Act (47 U.S.C. § 230). User-generated content posted on the platform (including merchant storefront content, customer reviews, and any third-party submissions) is the responsibility of the user who originated the content, not Tanqory. Nothing in these Terms or in our content-moderation practices (including takedowns under the DMCA Notice and Takedown Policy or the Acceptable Use Policy) constitutes Tanqory's endorsement of user-generated content or waiver of any protection available under Section 230(c)(1) or Section 230(c)(2). This provision is governed by US law without prejudice to any non-US user rights or local mandatory consumer protections.
6. Acceptable Use Policy
When using Tanqory, you agree to abide by the following acceptable use requirements. These rules are essential to maintain a safe, lawful, and trustworthy platform for all users.
- Compliance with Laws: You may not use Tanqory for any illegal or unauthorized purpose, or to engage in, promote, or facilitate any unlawful activities. This means you must follow all applicable laws and regulations in your jurisdiction (and the jurisdictions of your customers) including, but not limited to, laws related to commerce, taxation, data privacy, intellectual property, and export/import restrictions. You are responsible for determining the laws that apply to your business and ensuring compliance.
- No Sale of Illegal or Prohibited Products: Merchants are strictly prohibited from using our platform to sell or advertise goods or services that are illegal, regulated, or prohibited. This includes (but is not limited to) counterfeit products, stolen goods, illicit drugs, controlled substances, hazardous materials, weapons or firearms (unless fully compliant with law and explicitly permitted by Tanqory), adult content that violates obscenity laws, gambling services not licensed, or any products/services that would violate any law when sold or distributed. You must ensure that everything you sell via Tanqory is legal in the jurisdictions where you operate and where your customers reside. Tanqory reserves the right to suspend any store that sells products we determine to be illegal, dangerous, or otherwise in violation of this policy. Additionally, certain categories of products may be disallowed or require pre-approval even if legal (for example, alcohol, tobacco, supplements, etc., due to additional compliance requirements).
- Intellectual Property and Content Restrictions: You must not use Tanqory to transmit or store content that infringes the copyrights, trademarks, patents, trade secrets, or other intellectual property rights of any party. This includes using images, text, designs, or software without permission. If you sell branded or copyrighted goods, you must have the legal right to do so (e.g., be an authorized reseller or own the IP). We comply with takedown requests under IP laws (like the DMCA) and will remove infringing content if properly notified. Repeat infringement by a user may result in account termination.
- No Harmful or Fraudulent Activities: You may not use our Services to engage in fraudulent schemes, phishing, pyramid schemes, or to mislead others. You also must not introduce any viruses, worms, malware, or any other destructive code into the Tanqory platform. Any attempt to probe, scan, or test the vulnerability of our system or breach security or authentication measures is forbidden. You shall not perform any action that interferes with the proper working of the Service or places an unreasonable load on our infrastructure (for example, a Denial of Service attack or excessive usage of API beyond fair usage).
- No Spam or Abuse: You agree not to use Tanqory for sending unsolicited communications (spam) or for hosting or distributing offensive, harassing, or abusive content. Harassment, hate speech, threats, or content that incites violence or crime are strictly prohibited. Tanqory also does not tolerate using our service to stalk, bully, or violate the privacy of others.
- Platform Integrity: You cannot attempt to evade or circumvent any usage limits, fees, verification processes, or security measures that we have put in place. Any automated use of the system (such as bots or scripts) must comply with our API terms or be explicitly allowed. Do not misrepresent yourself or your affiliation with any person or entity when using the platform. You also must not imply that your business is endorsed by Tanqory or falsely state that you are a partner or approved by us without written permission.
- Developer Specific Restrictions: As per Section 4, developers integrating with our API must follow all security and use guidelines. Additionally, no developer is allowed to extract or harvest data from the platform beyond what is necessary for their app’s functionality, especially not to collect data on Tanqory itself or other merchants for competitive purposes.
- Reporting and Enforcement: If you become aware of any violation of this Acceptable Use Policy by any user, please report it to Tanqory through our support channels. We may investigate any reported or suspected violation of these Terms or our policies and take any action we deem appropriate. Enforcement actions may include removal of content, suspension or termination of accounts, and legal action if necessary.
Tanqory, in its sole discretion, will determine whether conduct or content is in violation of this Section 6. We reserve the right to suspend or terminate your access to the Service (or take down any offending content) without notice or liability if you engage in any activity that we determine violates our Terms or any applicable law. No refund will be issued in such cases of termination for cause.
7. Intellectual Property Rights
Tanqory’s IP: All rights, title, and interest in and to the Tanqory platform and services (including our software, code, design, algorithms, business processes, trademarks, logos, and content provided by us) are and will remain the exclusive property of Tanqory and its licensors. These Terms do not grant you any ownership of or license to Tanqory’s intellectual property, except for the limited right to use the Service as provided. You must not copy, distribute, modify, or create derivative works of our proprietary content without authorization. Use of Tanqory’s name, logo or trademarks is not permitted unless expressly allowed by us in writing.
Feedback: If you provide any suggestions, ideas, enhancement requests, recommendations, or feedback regarding Tanqory (“Feedback”), we may use and incorporate such Feedback without any obligation to you. You grant us a royalty-free, worldwide, transferable, sublicensable, irrevocable, perpetual license to use or exploit the Feedback for any purpose.
Third-Party IP: Tanqory respects intellectual property rights of others and expects users to do the same. If you believe a Tanqory user is infringing your copyright or other IP rights, please contact us with proper notice (e.g., DMCA notice for copyright). We will respond to valid infringement notices by removing or disabling content and notifying the affected user so they may respond (counter-notice, if applicable). Tanqory may terminate accounts of repeat infringers in appropriate circumstances. For copyright infringement notices and counter-notifications, see the DMCA Notice and Takedown Policy at platform/dmca-takedown-policy.md.
8. Cancellation and Termination
Cancellation by You (Merchant): You have the right to cancel your Tanqory account or subscription at any time. Cancellation can typically be done through your account settings or by contacting Tanqory Support and following the instructions provided. If you cancel:
- Your subscription will not renew further. For monthly plans, service will continue until the end of the current billing cycle after which it will not renew. For annual plans, service continues until the year term ends. We will not charge you for any renewal after cancellation.
- No refunds will be provided for the remaining period of a subscription you have already paid for, except where required by law or explicitly stated otherwise (see No Refunds Policy in Section 3). For example, if you cancel in the middle of a month, you will not receive a pro-rata refund for the unused portion of that month. Your store will remain active until the paid term expires, after which it will be taken offline.
- You are responsible for exporting any data you need prior to the end of the term. After a cancellation takes effect, you will no longer have access to the store admin or any content in your account.
- If you have any outstanding fees or charges at the time of cancellation, you are responsible for paying them immediately. We may send a final invoice for any accrued but unpaid fees.
Termination or Suspension by Tanqory: Tanqory reserves the right to suspend or terminate your account (or restrict any user’s access to the Service) at any time, with or without notice, and for any reason (unless otherwise required by law). Without limiting the foregoing, we may suspend/terminate for:
- Violation of these Terms or any other policy (e.g., Acceptable Use violations, illegal activity, non-payment of fees, fraud, abuse of the platform).
- Behavior that we determine is harmful to the Tanqory platform or other users (such as attempts to hack, misuse of API, causing performance issues).
- We suspect that your use of the Service is fraudulent, substantially likely to result in liability or harm to us or any third party, or may compromise the security of our systems or other users’ data.
- As required by law enforcement or other government agencies, or pursuant to a legal order.
In most cases, if the situation allows, we will attempt to notify you of any problematic activity and work with you to resolve the issue before taking termination action. However, in urgent or severe cases, we may suspend or disable the account immediately to protect the platform.
Effects of Termination: Upon termination of your account by you or by us for any reason:
- Service Discontinuation: We will cease providing you with the Services, and you will lose access to your account and all associated data. Your online store (if any) will be taken offline and inaccessible to you and your customers.
- No Further Use: You must immediately stop using the Tanqory Services and must not attempt to access the account or create a new account without our permission.
- Payment of Outstanding Fees: Unless otherwise specified, you remain liable for all fees and charges incurred up to the date of termination. Any outstanding balance becomes immediately due and payable in full. We may charge your payment method for any such outstanding amounts.
- Data Deletion: Tanqory may delete your User Content and data from our systems as per our data retention policy. Please ensure you have backed up any information you need prior to termination. Tanqory is not liable for any data loss due to account termination.
- No Liability: Termination of your account is without prejudice to any rights or liabilities that have accrued prior to the date of termination. Tanqory will not be liable to you or any third party for termination of your account or access to the Services, or for compensation, reimbursement, or damages in connection with any loss of goodwill, prospective profits, or anticipated sales, as a result of termination.
- Surviving Provisions: Certain sections of these Terms which by their nature should survive termination (such as indemnification, limitation of liability, governing law, etc.) will continue to be in effect even after termination.
If you believe your account was suspended or terminated in error, you may contact Tanqory Support to request review. However, Tanqory’s decision on termination is final and at our sole discretion.
9. Disclaimer of Warranties
Use At Your Own Risk: Tanqory provides the Services to you on an “AS IS” and “AS AVAILABLE” basis, without any warranties of any kind, either express or implied. Your use of the Service is at your sole risk. To the fullest extent permitted by applicable law, Tanqory disclaims all warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee that the Services will meet your specific requirements, achieve any intended results, or operate uninterrupted, secure, or error-free.
No Guarantee of Results: Tanqory makes no representation or warranty that using the platform will increase your sales or guarantee any business success. Any success stories or references on our site do not ensure similar outcomes for your business.
Operation of Service: We do not warrant that the functions contained in the Service (or any Apps or integrations) will be continuous, timely, secure, or error-free, or that defects will be corrected. We do not warrant that our site or communications are free of viruses or other harmful components. While we strive for high availability, Tanqory does not guarantee 100% uptime and is not responsible for any downtime or service interruptions (whether due to maintenance, technical issues, internet outages, etc.).
Third-Party Services: Any third-party products, Apps, or services accessed via Tanqory are not warranted or supported by Tanqory. For example, if you integrate a third-party payment gateway or install a third-party app, we are not responsible for their performance. Your dealings with third-party service providers are solely between you and them, and subject to their terms.
Legal and Compliance: Tanqory does not provide legal, tax, or accounting advice. Any informational content (like blog posts or help center articles) provided by Tanqory is for general informational purposes only and you should consult your own professional advisors for guidance tailored to your situation. You are responsible for understanding and complying with the laws and regulations that apply to your use of our Services and your business.
Some jurisdictions do not allow the exclusion of certain warranties. If those laws apply to you, some of the above disclaimers may not apply to you to the extent prohibited.
10. Limitation of Liability
Limited Liability: To the maximum extent permitted by law, in no event shall Tanqory or its directors, officers, employees, affiliates, agents, contractors, or licensors be liable to you or any third party for any indirect, incidental, special, consequential, punitive, or exemplary damages whatsoever arising out of or related to this Agreement or your use of the Services. This exclusion includes, without limitation, damages for lost profits, lost revenue, lost business opportunities, goodwill, anticipated savings, loss of data, or other intangible losses, even if we have been advised of the possibility of such damages.
Cap on Liability: In addition, to the fullest extent permitted by law, Tanqory’s total cumulative liability to you for any claims arising out of or relating to these Terms or the Services will not exceed the total amount of fees you have paid to Tanqory for the specific Service in the six (6) months immediately preceding the event giving rise to the liability. If you have paid no fees to Tanqory in that time period, Tanqory’s liability shall be capped at US $100. This limitation applies collectively to Tanqory, its affiliates, officers, employees, agents, and suppliers.
Basis of Bargain: You acknowledge and agree that Tanqory has offered the Service and set its prices in reliance upon the warranty disclaimers and the limitations of liability set forth in these Terms, which reflect an agreed allocation of risk between the parties. The warranty disclaimers and limitation of liability form an essential basis of the bargain between you and Tanqory, and will survive and apply even if any remedy fails of its essential purpose.
Exceptions: Nothing in these Terms is intended to exclude or limit liability that cannot be excluded under law – for example, liability for death or personal injury caused by gross negligence or willful misconduct, or any statutory liability that cannot be limited or excluded. However, in jurisdictions that allow the limitation of liability in consumer contracts, our liability will be limited to the fullest extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Tanqory and its affiliates, and their respective officers, directors, employees, and agents, from and against any and all third-party claims, demands, suits, proceedings, losses, liabilities, damages, or costs (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Tanqory Services, (b) your User Content or products/services you sell (including any claims that your content or products infringe or violate third-party rights or laws), (c) your breach of these Terms or violation of any applicable law or regulation, or (d) your negligence or willful misconduct.
Tanqory reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with Tanqory’s defense of such claims. You agree not to settle any such matter without the prior written consent of Tanqory. We will use reasonable efforts to notify you of any claim, action or proceeding as soon as we become aware of it.
This indemnification obligation will survive the termination or expiration of your account and these Terms.
12. Modifications to the Terms
Tanqory may change or update these Terms from time to time. We reserve the right to modify or replace any part of the Terms in our sole discretion. In case of material changes (such as changes that substantially affect your rights or obligations), we will provide advance notice – for example, by sending an email to the primary address associated with your account or by posting a prominent notice within the service. The notice will designate a reasonable notice period before the new Terms take effect, typically at least 30 days for material changes. For non-material changes or changes required for legal reasons, we may not provide advance notice and the changes may be effective immediately upon posting.
Acceptance of Changes: If you continue to use the Service after the updated Terms become effective, you are indicating your acceptance of the changes. If you do not agree to any updated Terms, you must stop using Tanqory and, if applicable, cancel your subscription. Always review the Terms when we notify you of changes, or periodically, to ensure you understand the conditions of your use.
The “Last Updated” date at the top of this document indicates when these Terms were last revised. We also maintain historical versions of our Terms accessible via our website for your reference.
13. Governing Law and Dispute Resolution
Governing Law: This Agreement and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles. The U.N. Convention on Contracts for the International Sale of Goods (CISG) does not apply to these Terms and is hereby expressly excluded.
Arbitration: Except where mandatory law provides a different forum (e.g., certain consumer rights), any dispute, controversy, or claim arising out of or relating to these Terms, including their existence, validity, interpretation, performance, breach, or termination, shall be finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) under the SIAC Rules in force when the Notice of Arbitration is submitted, which rules are deemed incorporated by reference. The seat of arbitration shall be Singapore, the language shall be English, and the tribunal shall consist of one arbitrator. The award shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. This arbitration agreement does not deprive you of any non-waivable consumer protection rights or mandatory dispute forums available under the law of your country of residence.
Injunctive Relief: Notwithstanding the above, Tanqory may seek interim, injunctive, or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
If you are using the Services on behalf of a business, you also agree that to the extent permitted by law, any dispute with Tanqory will be conducted only on an individual basis and not in a class, consolidated, or representative action. (No class actions or similar collective remedies).
14. Language and International Use

Our primary operating language is English, but we strive to provide localized support/documentation in other languages including (but not limited to) Thai, German, French, Spanish, Portuguese, Italian, Dutch, Chinese, Japanese, Swedish, and more, reflecting our key markets. For convenience, we may present these Terms or other policies in various languages. In the event of any inconsistency between a translated version and the English version of these Terms, the English version will prevail and control.
Target Markets: Tanqory’s services are available for users worldwide. Some of our main target markets include the Australia, Austria, Belgium, Brazil, Canada, Chile, China, Denmark, Finland, France, Germany, Hong Kong, Hungary, India, Ireland, Italy, Japan, Malaysia, Mexico, Netherlands, New Zealand, Norway, Pakistan, Poland, Portugal, Romania, Singapore, South Africa, Spain, Sweden, Switzerland, Taiwan, Turkey, United Arab Emirates, United Kingdom and United States, among others. This broad availability is subject to applicable trade restrictions and local laws. By using Tanqory in your country, you represent that our provision of the Service to you is not in violation of any export ban or sanction.
Local Compliance: Given the international reach of our platform, you are responsible for ensuring that your use of Tanqory is in compliance with all local laws and regulations in the country in which you operate or have customers. Tanqory makes no representation that the Services are appropriate or available in any particular location. Sanctions and export controls: You may not use Tanqory if you are located, organized or ordinarily resident in Cuba, Iran, North Korea, Syria, Russia, Belarus, or the Crimea, so-called Donetsk People's Republic or so-called Luhansk People's Republic regions of Ukraine, or if you are, or are owned or controlled by, a person named on a United States, European Union, United Kingdom or United Nations sanctions list. We may refuse, suspend or close an account, or decline a payment, where we reasonably believe this is required to comply with sanctions or export-control laws. If you are located in a jurisdiction with data residency requirements or specific legal regulations, it is your responsibility to obtain appropriate advice and determine whether using Tanqory is lawful in your case.
Translations: Any translations of these Terms provided are for convenience. In case of a dispute, the English version will be used for interpretation. We encourage non-English-speaking users to consult the English Terms or seek professional translation if needed to fully understand their rights and obligations.
15. Special Provisions for Enterprise, White-Label, or Reseller Use
No Custom Terms Without Agreement: Tanqory currently does not provide individually negotiated Terms of Service for specific clients (e.g., no separate enterprise-grade contract unless agreed in writing). These standard Terms apply to all users and clients, regardless of size or type, including enterprise or business-to-business (B2B) clients. By using Tanqory, you agree that you are bound by these Terms and not by any other terms unless a duly authorized executive of Tanqory has signed a separate contract with you. Enterprise customers who require certain commitments or arrangements must contact us to discuss a custom agreement; until then, these Terms govern your use.
White-Label Services: Tanqory may offer a white-label or rebranding option (where our platform is resold under another brand) or reseller licenses, but such arrangements are subject to explicit written agreements. Unless you have entered into a separate white-label or reseller agreement with Tanqory, you are not permitted to resell, repackage, or white-label the Tanqory Services to others. If you are an authorized reseller or partner, you must comply with all provisions of that partnership agreement in addition to these Terms. In case of conflict between these Terms and your reseller agreement with Tanqory, the signed reseller/partner agreement will prevail for the specific conflicts.
No Agency: Registering as a reseller or affiliate does not create an employment, agency, or franchise relationship with Tanqory. You may not act on our behalf or incur obligations for Tanqory, except as expressly allowed in a separate agreement. We reserve the right to terminate any reseller or affiliate arrangement for violations of these Terms or any program terms.
16. Miscellaneous
Entire Agreement: These Terms of Service, together with any additional policies or guidelines referenced herein (such as our Privacy Policy, Acceptable Use Policy, Developer Terms, or any applicable program terms), constitute the entire agreement between you and Tanqory regarding your use of the Services, superseding any prior agreements or communications (whether written or oral) relating to the subject matter. You acknowledge that you have not relied on any representation, warranty, or statement not expressly set out in these Terms.
No Waiver: Our failure to enforce any provision of these Terms shall not in any way be construed as a present or future waiver of such provision, nor affect our right to enforce any other provision at that time or later. Tanqory’s express waiver of any provision, condition, or requirement of these Terms shall not be a waiver of any future obligation to comply with such provision, condition, or requirement.
Severability: If any term or provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect. The parties agree to negotiate in good faith a valid, enforceable substitute provision that most nearly effects the parties’ original intent.
Assignment: You may not assign or transfer any rights or obligations under these Terms to any other person or entity without Tanqory’s prior written consent. Any purported assignment without consent is null and void. Tanqory may freely assign or transfer its rights and obligations under these Terms to any third party as part of a merger, acquisition, sale of business, or by operation of law, and will notify you of any such assignment.
Relationship of Parties: Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship between you and Tanqory. You are an independent business user of the platform.
Third-Party Beneficiaries: Except as expressly provided in these Terms, no third party has any rights to enforce any term of this Agreement. These Terms do not confer any third-party beneficiary rights.
Notices: Tanqory may provide you with notices, including those regarding changes to the Terms or any matter required by law, by email to the address associated with your account, regular mail, or postings on our website or dashboard. Notices emailed to you will be deemed given and received on the transmission date. If you need to give notice to Tanqory, you must do so by email to our official support or legal email address, or by registered mail to our mailing address provided on our website. Notice to Tanqory is effective upon receipt by us.
Force Majeure: Tanqory will not be liable for any delay or failure to perform its obligations hereunder if such delay or failure arises from any cause or causes beyond our reasonable control, including acts of God, natural disasters, acts of government, war, civil unrest, insurrections, terrorism, epidemics/pandemics, labor strikes, Internet or telecommunication failures, or any other cause beyond our reasonable control.
By using or continuing to use Tanqory’s Services, you acknowledge that you have read, understood, and agreed to all the above terms and conditions. If you have any questions about these Terms, please contact Tanqory support for clarification before using the platform.
