Terms of Sale
On this page
This policy sets the terms and conditions for purchasing Tanqory services and products, covering pricing, taxes, payments, delivery, refunds/cancellations, liability limits, and regional requirements. If there is any conflict with an Order Form or a more specific document, the more specific/latest document governs. Sample price tables and plan outlines are in Section 2, and cookie opt-out/settings URLs are in Section 7 for U.S. state compliance. The policy covers digital products (SaaS, APIs, add-ons) and tangible goods (if any), with billing-cycle details (monthly/annual), overage/premium support charges, and real-time regional tax calculation (VAT/GST/sales tax) via PCI DSS-certified processors. Payments may require risk checks/identity verification (Strong Customer Authentication), and Tanqory may suspend delivery if payment fails or abnormal activity is detected.
Digital service delivery is deemed complete when account/feature access is turned on. Tangible goods follow shipping/delivery SLAs and parcel tracking by region. For cross-border shipments, you agree to customs/import obligations and warrant that use will not violate export-control/sanctions rules (e.g., U.S./EU). The refund/cancellation policy appears in Section 5, taking into account local consumer protection (e.g., EU 14-day cooling-off if eligible; certain U.S. states have refund-notice requirements).
Tanqory issues electronic invoices, and you consent to notices via email/dashboard (durable medium). If prices/plans change, advance notice will be given under Section 12; continued use constitutes acceptance. Cookie/tracker use for measurement and personalization is disclosed in Section 7 with CPRA/U.S.-state opt-out links and GDPR/ePrivacy/PDPA consent mechanisms. You agree the cookie-policy URL and consent-preference center form part of this agreement.
For personal data processing, Tanqory acts as processor/service provider under the DPA/SCC/IDTA/BCR (as applicable) and will not use your data to train public models without a legal basis or consent. Cross-border transfers rely on legally recognized mechanisms. If a controller requires a data appendix, it may be requested via the channels in Section 14. Regional terms (EU/UK, U.S., APAC including SG/JP/KR, Brazil, India, China) are in Appendix A and override general terms for customers/consumers in those jurisdictions.
1) Scope and Acceptance
These terms apply to purchases of subscription services, add-ons, hardware/devices, and professional services from Tanqory or via the Tanqory platform. Placing an order, making payment, or clicking to accept forms a binding contract and full acceptance of these terms. Buyers should read alongside the Terms of Service, Refund and Cancellation Policy, Shipping Policy, and Billing/Payment Terms. If you do not agree, stop ordering or cancel before performance begins.
Seller of record / billing entity. The seller of record and contracting party for purposes of these Terms of Sale is Tanqory Inc. (a Delaware corporation, c/o Harvard Business Services, Inc., 16192 Coastal Highway, Lewes, DE 19958, USA). When you purchase through a partner store, the store is the seller of record for that transaction.
When purchasing through a partner store, the store is the seller of record; Tanqory provides platform and process support. For enterprise customers, specific terms in the Order Form or Addendum prevail over general text. Misuse or falsification of order information is a breach and may lead to cancellation. The buyer represents legal authority and age of majority in their jurisdiction.
If new services or processors are introduced, Tanqory may request additional consent under data-protection law. This document uses plain language but is fully legally binding and operates as a clickwrap/e-signature agreement effective across multiple regimes (GDPR/UK GDPR, CPRA, PDPA SG, LGPD, APPI, PIPA KR).
These terms cover B2B/B2C transactions, including marketplace orders, in-app purchases, and API-based billing. The buyer accepts communications, notices, invoices, and change announcements via durable medium (email/dashboard). Where consumer law applies (e.g., EU 14-day cooling-off for digital services not yet delivered), details appear in regional appendices.
Definitions: “Products/Services” include software licenses, cloud storage, compute credits, support credits, professional services (PS), and overages. Changes to processors or subprocessors will be announced in advance with opt-out/cancellation rights where required by data-protection law.
High-risk or flagged-fraud orders may be temporarily held for identity (KYC) and payment verification (e.g., SCA/3DS). The buyer warrants that use does not violate sanctions/export-control rules (e.g., OFAC/EU) and will not send data to prohibited persons or territories. For hardware/devices, import/customs and safety/electrical standards of the destination country must be met.
For digital services, delivery is complete when access/license is enabled or a usable API key/token is issued. If this file conflicts with an Order Form, SOW, Addendum, or legal appendix, the more specific and latest-dated document governs. Tanqory may update terms to align with new laws (e.g., EU AI Act, digital tax laws) with reasonable advance notice.
Use of ancillary features (e.g., AI, CDN, payment gateway) may be subject to third-party terms referenced or attached. Sandbox/trial use before purchase is non-production and not covered by SLA unless stated in writing. Pricing, tax conditions, shipping fees, and product/service restrictions may vary by region and are auto-calculated at payment time.
The buyer acknowledges that provided information is used for authentication, fraud prevention, and compliance with financial/accounting laws. Discounts/coupons/credits must follow published conditions and may expire or be non-transferable. If purchased through resellers/partners, certain warranties or after-sales support may be passed through per their contract.
The buyer should retain a copy of the current terms (see version and update date in the footer). In case of language disputes, the English original (if attached) may be referenced with the applicable law.
2) Pricing, Taxes, and Currency
Prices are shown on the dashboard or Order Form in supported currencies (primary USD) and are tax-exclusive unless expressly labeled “tax inclusive.” Tax calculation (VAT/GST/sales tax) is based on the customer’s address and tax information; incomplete data may result in charging the maximum lawful rate. FX uses a mid-market reference at billing; FX/bank fees are borne by the customer unless the contract states otherwise. Fixed or variable charges (e.g., shipping, customs/duties) are disclosed transparently at Checkout.
Promotions or coupons apply per published terms and may expire or be revoked if misused. Where price/strike-through display is regulated (e.g., EU/UK Price Indication), Tanqory will comply. If prices are displayed in a local currency, the binding amount is the invoice/checkout amount, not any rounded UI display. Customers are responsible for destination import duties/customs (if any) per the Shipping Policy. Price/tax increases that add burden will be announced at least 30 days in advance unless required sooner by law or safety.
If prices conflict between dashboard/Order Form/invoice, the latest-issued document controls. The billing engine supports multi-jurisdiction taxes (EU/UK VAT OSS/MOSS, U.S. state/local, JP Consumption Tax, AU/NZ GST, SG GST) and shows tax transparently on electronic invoices. Customers must provide correct tax IDs (VAT ID/EIN/ABN/GSTIN) to claim reductions/exemptions; otherwise full tax may apply and may not be refunded retroactively.
If reverse charge or withholding applies, the customer must remit and provide tax certificates to Tanqory within statutory timelines. Dynamic pricing uses an engine that updates tax/FX/shipping in real time with timestamps on invoices for reference. Plan changes (upgrade/downgrade) are prorated by remaining days/billing cycle unless a fixed-term or non-prorated plan is specified. Overage/premium support/migration/PS fees are calculated from metering logs and included in the next invoice.
If crypto/alternative payment methods are supported, conversion uses market rates at checkout; conversion/network fees may apply. The binding price is the fiat value on the invoice. Bank transfer/wire payments must include fees so net receipts match the invoice; Tanqory may suspend for underpayment. Late payments may accrue charges within legal/contract caps. Billing history is accessible in the dashboard for at least 7 years or longer if required by law.
2.3 Appendix C: Pricing source-of-truth and Checkout Text
- Current plans, prices, and tier names are not duplicated here. The canonical reference is the Pricing source-of-truth (
apps/legal/_compliance/sources-of-truth/10-pricing.yaml), with customer-facing detail and compliance overlay in the Pricing Disclosure Policy (apps/legal/tanqory_legal/en/commerce/pricing-disclosure-policy.md). The live binding price is what is shown onhttps://tanqory.com/pricingand at Checkout at the moment of transaction. Where this Appendix and the live Pricing page conflict, the live page governs. - Example Checkout text:
- "Pay {price}/{billing cycle}. Term {month/year}. Auto-renews until canceled. You can cancel anytime in the dashboard before the next renewal date."
- "If you start service immediately, the 14-day digital-service withdrawal right ends when service begins" (EU/UK)
- The binding price is the price shown on the live dashboard/Checkout/Order Form at the time of transaction.
3) Payments, Billing, and Renewal
We support credit/debit cards, PayPal, bank transfer for enterprise, and other system-supported methods. You must maintain a valid payment method at all times. Subscription fees are billed in advance monthly/annually as selected; add-ons or overages are billed by actual usage. Services auto-renew until canceled in the dashboard; for annual plans, an email/notice is sent at least 30 days in advance (referencing CA Auto-Renewal Law/FTC) with a direct “cancel/do not renew” link (easy cancellation). You must cancel before the renewal date to avoid a new term. Failed payments will be retried under the Billing Policy before suspension/termination, and service is reinstated per SLA once payment clears.
If Net terms apply per the Order Form, pay within the stated period or late fees may accrue up to legal/contract caps. Bank/FX/cross-border fees are borne by the customer unless the contract assigns them to Tanqory. Mid-cycle plan changes may involve proration per the Billing Policy/Order Form. Invoices/e-invoices use the customer-provided data; corrections may incur fees. Incorrect payment disputes/chargebacks may trigger suspension/chargeback fees. Billing history is available in the dashboard for at least 7 years or longer if required.
The billing system follows PCI DSS and supports SCA/3DS where required to reduce fraud. Retries follow configured timing/count with email/dashboard notices. Transactions suspected of fraud/abuse may be temporarily held pending identity proof/card ownership evidence. Customers may add backup payment methods to mitigate suspension risk if the primary method fails. If payment method or account owner changes, update the dashboard before the next billing cycle. Usage-based charging relies on downloadable metering/logging. For disputes/chargebacks, PSP fees may apply and services may be suspended until resolved. Tax invoices are issued electronically per country law using the required receipt/cash-slip formats.
Moving from trial/promo to a paid plan triggers billing immediately after trial/promo ends unless otherwise stated. Prepaying multiple cycles/years (if available) will note discounts/benefits in the Order Form and is non-refundable absent legal mandate. Customers may set email reminders for due/renewal dates to avoid missed billing. To stop renewal, cancel at least one business day before the due date shown in the dashboard. SCA/3DS under PSD2/EU and card-on-file consent for auto-renew are supported, with clear auto-renew text at Checkout.
3.1 Auto-renewal/Cancellation Notices at Checkout
- “Subscription auto-renews every {billing cycle} until canceled.”
- “{Price} will be charged per billing cycle via your chosen payment method. You can cancel anytime before the next renewal date in the dashboard.”
- “By paying, you accept the Terms of Service, Terms of Sale, and Refund and Cancellation Policy.”
4) Delivery, Risk, and Title
Digital services are delivered once account access or the relevant API/features are enabled. Physical goods follow the Shipping Policy and may use multiple carriers with tracking numbers. Risk of loss/damage to physical goods passes to the customer when the carrier records “delivered,” unless the contract states otherwise. Title transfers upon full payment and delivery. For partner-store goods/services, the store is the seller and responsible for delivery; Tanqory coordinates but is not the sales counterparty. Provide accurate address/contact details; if the address is incorrect or the recipient is unavailable, reshipment will be charged at actual rates including new taxes/duties. If goods/services require licenses or approvals (e.g., controlled items, encryption software), the customer must obtain them and bears related delays. Delivery delays from force majeure (natural disaster, war, sanctions) or customs limits follow the Shipping Policy and applicable consumer law. Inspect goods on receipt; if damaged or non-conforming, notify within the SLA in the Shipping Policy. Refusal without a legally protected reason may incur return shipping offsets before any refund (if eligible). Tanqory may offer replacement, split shipment, or refund if stock runs out unexpectedly and may adjust shipping methods to meet SLA/customs requirements.
5) Cancellation, Refunds, and Disputes
Digital services are generally non-refundable unless misbilled, legally required, or specified in the Order Form/special program, per the Refund and Cancellation Policy. Cancellation takes effect in the next cycle unless an enterprise contract states otherwise. Any prorated refund (if offered) must be stated in the Order Form/SOW. Hardware/devices follow product terms, return windows, and restock/shipping fees under the Shipping/Refund Policy. Invoice disputes must be sent to billing@tanqory.com within 30 days with evidence; Tanqory will investigate within SLA and inform the result. Improper chargebacks may lead to suspension and chargeback fees; if the transaction is valid, SLA credits apply to future cycles, are non-cash, and cannot exceed fees for the affected cycle. Shipping/delivery disputes follow the Shipping Policy; for partner-store goods, contact the store directly. Refunds use the original currency/channel unless unsupported, in which case an agreed method applies. Where local consumer law grants additional rights (e.g., EU/UK cooling-off when digital service has not started), Tanqory will comply. False information or forged documents in refund/dispute requests may be denied, service terminated, and investigation costs recovered within legal limits, with appeal channels per the Refund and Cancellation Policy.
6) Liability Limitations and Indemnity
Tanqory is not liable for indirect, consequential, lost profits, data loss, or punitive/exemplary damages except where required by law or specified in a special contract. Tanqory’s aggregate liability for all claims under these terms is capped at fees paid in the 12 months before the event giving rise to the claim, unless mandatory law requires a higher cap. Liability is not limited for death or personal injury from gross negligence, fraud, or liabilities that cannot be limited by law. Customers must indemnify and hold Tanqory harmless for claims arising from legal violations, AUP breaches, IP infringement, or misuse by the customer or its designees. Force majeure (e.g., natural disasters, war, sanctions, strikes, telecom/data-center failures) may delay/waive obligations as permitted by law. If an enterprise contract sets different liability caps, service credits, or SLAs, those govern. Nothing here affects non-waivable consumer rights. Insurance (if any) will be stated in the Order Form/SLA with coverage/scope/exclusions. Tanqory is not liable for illegal or infringing partner-store goods/services; partner stores bear sole responsibility. These limitations apply to all causes of action, including contract, tort, statutory data claims, or related grounds.
7) Regional Requirements
- EU/UK: Consumer rights include delivery within 30 days or renewed consent if delayed; 14-day withdrawal for eligible contracts; VAT-inclusive display for B2C; clear auto-renew disclosures; strong SCA compliance; and accurate price-indication rules.
- United States: Comply with state auto-renewal laws (e.g., CA), SB 478 Honest Pricing, UDAAP; provide pre-renewal notices, click-to-cancel, and tax disclosure by state/local jurisdiction.
- APAC (SG/JP/KR): Respect local consumer laws, PDPA/CPFTA, and disclosure of VAT/GST/consumption tax.
- Brazil/India/China: Comply with consumer advertising, tax display, and auto-renewal rules as applicable; local law prevails if stricter.
7.1 Cooling-off/Right of Withdrawal (EU/UK – summary)
If you are a consumer in the EU or UK, you may withdraw from your subscription within 14 days of the contract date by emailing billing@tanqory.com, and we will refund the full amount you paid within 14 days of your notice. This does not limit any other right mandatory consumer law gives you.
7.2 U.S. State Opt-out/Cookie Links
Use of data for advertising/measurement will honor Do Not Sell/Share rights under U.S. state laws via opt-out links: Do Not Sell/Share: https://legal.tanqory.com/do-not-sell-share and cookie/ads settings: https://legal.tanqory.com/cookie-settings. If a Global Privacy Control (GPC) signal is sent, Tanqory will honor the opt-out where applicable. A banner/privacy center will allow accept/decline for non-essential cookies and will not set marketing cookies before consent in covered states.
7.3 Appendix B: Example Late-Fee/Interest Caps
- Singapore: Late interest per contract or up to 8% per annum of overdue balance (or lower legal cap).
- United States (general examples): Many states cap late interest around 1–1.5% per month or the state usury cap; use the lower state cap.
- EU/UK: If not set in contract, may use ECB/BoE base rate plus statutory commercial late-payment margin; use the lowest applicable cap.
7.4 Appendix C: Frequently Used Caps (illustrative; follow local law)
| Jurisdiction | Late-interest/penalty cap | Notes |
|---|---|---|
| California (US) | ~1%/month (12%/year) generally; some transactions have lower usury caps | Use state cap if lower than Billing Policy |
| New York (US) | Usury cap ~16% APR for general loans; commercial late fees often ~1–1.5%/month | Verify transaction type before applying |
| Texas (US) | Often ~18% APR overall or contract cap if lower | Use the lowest of contract/law |
| Australia | Late fees must be reasonable and not exceed actual loss; interest often cash rate + reasonable margin | Avoid unlawful penalty-level fees |
| EU/UK (reiterated) | If not in contract, use base rate (ECB/BoE) + statutory margin under Late Payment Directive/local law | Always use the lowest cap |
Note: If local law or the Order Form/Billing Policy sets a lower cap, that lower cap governs. Update this table when laws or local caps change.
8) Changes to Terms
Changes that increase burden (e.g., price increases, reduced rights, lower limits) will be announced at least 30 days in advance via email and dashboard, unless safety or law requires earlier effect. Non-burdensome changes (e.g., clarifications, restructuring, grouping) may take effect immediately with notice via the same channels. Continued use after the effective date constitutes acceptance. If you do not accept, cancel before the effective date. Changes to processors or new services affecting personal data may require renewed consent under data-protection law. The latest version on legal.tanqory.com or the dashboard is binding. Specific terms in an Order Form/Addendum override conflicting general text. Legally mandated changes may take effect sooner and will be communicated promptly. Effective dates and notice dates will be stated clearly; prior versions are retained for reference. If any part is void/unenforceable, the remainder stays in force.
9) Contact Information
For billing or invoice disputes, contact billing@tanqory.com with account number and evidence. General inquiries: info@tanqory.com. Legal/dispute/arbitration matters: legal@tanqory.com. Enterprise accounts: use the Runbook/Order Form channels. Additional help: https://help.tanqory.com or live chat/support center in the dashboard (during posted hours). Important communications are sent via email and dashboard as durable medium. If you need another language version or translation, contact support; it will be provided as required by law. Data-subject rights (DSR/DSAR) requests must use the channels in the Privacy Policy to verify identity. Local consumer notices will list additional complaint channels as required. Tanqory will respond within applicable SLA timelines and may request more information to verify identity/authority. For emergencies or account security risks, use the urgent channels posted in the dashboard.
10) Data Protection and Security
Tanqory complies with the Privacy Policy and DPA (if applicable), including transfer mechanisms (SCC/IDTA/BCR) for processing customer personal data. We do not use customer data to train public models without a legal basis or consent. Customers must not send prohibited data (e.g., full card data, health/biometric data without a lawful basis) through the service unless approved in writing. Tanqory applies security measures (encryption in transit/at rest, access controls, access logging) and maintains IR/BCP plans; breaches will be notified per applicable law. Customers must keep login/API keys confidential and are responsible for activity in their accounts.
11) SLA and Service Credits
Core service SLAs specify uptime/response time, RTO/RTR, measurement methods, and exclusions on the Status/SLA page or specific Order Form/SOW. Uptime measurement is based on Tanqory-designated central monitoring and may exclude beta endpoints or announced “as-is” features. Qualifying downtime may earn service credits as stated (applied to future cycles, non-cash, not exceeding fees for the affected period). Force majeure, scheduled maintenance with notice, and third-party issues outside control may be excluded. Blocks due to AUP violations, misuse, or payment failure are not downtime. Claims must be filed within the SLA window with logs/affected times; credits are the sole remedy for SLA breaches unless an enterprise contract states otherwise and may require technical verification (e.g., headers/timestamps).
Submit SLA claims via the Status Page/dashboard form with affected timeframes and evidence. Tanqory will respond within SLA timelines and calculate credits per the published formula (e.g., percentage of fees for the affected billing period when uptime falls below threshold). Disputes follow the SLA appeal process.
12) Product/Service Warranties
Digital services are provided “as is” and “as available” unless a written warranty appears in the Order Form or appendix. Hardware/devices (if any) are covered by the manufacturer warranty or Order Form, with DOA/RMA procedures, return/repair/replace steps, duration, and exclusions (e.g., misuse, accidents, modifications, third-party accessories). No other implied warranties (merchantability/fitness) apply where permitted by law. Software/firmware updates may be required to maintain warranty. To claim, contact the stated channel with serial number/proof of purchase within the RMA/Shipping timelines. Warranty excludes damage from AUP/technical breaches, unapproved environments, or failure to follow manuals.
13) Intellectual Property and Permitted Use
Tanqory owns all software, documentation, logos, trademarks, content, and technology provided. Customers receive a non-exclusive, non-transferable, revocable license to use within the agreed scope. No reverse engineering, decompiling, building competing services, excessive scraping, or trademark/brand use without authorization. Customer content remains customer property; the customer grants Tanqory rights to use, reproduce, process, and back up to provide the services and comply with law. For partner-store goods/services, the store retains rights and is responsible for IP issues. Customers warrant provided data/content does not infringe third-party rights and allow Tanqory to use feedback to improve services without compensation. Open-source components (if any) are subject to their licenses and will be identified in documentation/notices.
14) Export Controls and Sanctions
Customer represents it will not use, export, or transfer Tanqory goods/software/technology to sanctioned countries/persons/entities or violate applicable export/sanctions laws (e.g., U.S./EU/Singapore). Customer must obtain export/import licenses if needed and bears consequences of denial/delay. Tanqory may suspend or terminate immediately upon suspected violation, including blocking transactions with sanctioned IPs/payment addresses/recipients. Customer must comply with encryption software rules, export reports/documentation, end-user/end-use screening (no WMD/controlled military use), and ECCN/dual-use requirements in product docs, including using authorized customs brokers if required.
15) Governing Law and Dispute Resolution
These terms are governed by Singapore law unless an Order Form specifies another jurisdiction. Disputes should first be negotiated in good faith; if unresolved, they go to SIAC arbitration in Singapore (English), unless mandatory consumer law requires access to the consumer’s home forum. EU/UK consumers may access the EU ODR platform where required. Class-action/jury-trial waivers may apply where lawful and will be stated in the Order Form/appendix. Arbitration awards may be enforced in courts of competent jurisdiction. If any provision is void, the remainder remains in force. Dispute communications should be sent via the specified emails with identity/authority evidence and may require formal documents (e.g., passport/company certificate) to confirm parties.
