Theme Partner Terms
On this page
Status Notice — Program Launch Pending. The Tanqory Theme Marketplace described in these Terms is scheduled for public launch in a future release. Until Tanqory issues a written launch announcement, only Tanqory-curated themes are distributed on the platform and these Terms apply only to partners onboarded by Tanqory's invitation. We publish these Terms in advance for transparency to prospective theme partners, app-store reviewers, and regulators. Tanqory may revise these Terms before launch; the version in force at the time of partner onboarding controls.
Effective: 28 May 2026 Last Updated: 28 May 2026 Version: 2.1
1) Scope and Acceptance
These terms apply to partners who develop/submit/sell themes via the Tanqory Theme Store and all related services.
Applying for a partner account or submitting a theme constitutes acceptance of these terms and referenced policies (Developer Program, API License, App Privacy, DPA, AUP, Security).
Partners are independent contractors, not employees/agents of Tanqory, and have no authority to bind Tanqory unless expressly authorized in writing.
Provide accurate registration information and update within 7 days of material changes; Tanqory may request ID/KYC/tax documentation.
Participation is prohibited if on sanctions lists or previously suspended for violations.
Changes to terms will be announced via a durable medium (email/dashboard); continued use = acceptance.
Partners must comply with local law/export/sanctions for every sale or service of themes.
Order Form/Program Guide control alongside these terms; stricter/specific documents prevail if conflicts arise.
Minimum age 18 or legal age of majority under applicable law.
The English version governs if translations conflict.
2) Enrollment and Basic Requirements
Apply via Partner Portal with company/tax/payment details; Tanqory may decline at its discretion for quality/security concerns.
Technical skills required: HTML/CSS/JS, template engine (Liquid‑equivalent), responsive design, accessibility (WCAG 2.1 AA), performance tuning.
Must accept Program Policies: branding, marketing, support SLA, quality bar, security, privacy/data handling.
Enforce sandbox vs production separation; no embedded credentials/secrets in themes; use APIs within authorized scope.
Provide portfolio/samples and agree to code/design assessment before listing.
Provide working support contacts (email/form) and meet the Support SLAs.
Verify all software rights (fonts/images/libraries) with proper licenses.
Apps/plugins bundled with themes must comply with App Privacy Requirements and API License.
If using third‑party services/SDKs, have appropriate DPAs/contracts and do not export data beyond consent.
Tanqory may tier partners (Standard/Gold) based on quality and customer satisfaction scores.
3) Quality Standards and Review
Themes must pass testing: responsive, cross‑browser, performance (Lighthouse/CLS/LCP), basic SEO, accessibility (WCAG 2.1 AA), security headers/CSP‑ready.
Support baseline i18n/l10n (UTF‑8, RTL‑ready where relevant) and display dates/currencies per platform locale.
Code must be readable, separated by concerns, no unused code, no minified/obfuscated code hiding behavior, and only necessary comments.
No tracking/analytics without disclosure in the theme description; must be disable‑able and obtain consent per law.
Settings/customizer must not degrade performance and must not rely on unsafe client‑side code.
Assets must be appropriately sized; use lazy loading/asset splitting to control load.
Subject to Tanqory review before publishing; fixes/resubmission may be required based on feedback.
No infringing code (copyright/trademark/patent) or attack patterns (XSS/CSRF/SQLi).
Update themes to support platform/API changes within notified windows (sunset/breaking ≥90 days unless emergency).
Keep test evidence and provide upon Tanqory request.
4) Intellectual Property and Licensing
Partner retains rights in its themes but grants Tanqory a non‑exclusive, worldwide, revocable license to host, reproduce, distribute, display, market, and allow merchants to use under the theme license.
Partner must ensure all theme assets have proper rights, do not infringe third‑party IP, and carry commercial licenses (fonts/images/libraries).
Do not include copyleft OSS (e.g., GPL requiring source disclosure) that conflicts with distribution terms unless expressly approved.
Partner grants Tanqory the right to use partner brand/logo to promote themes, revocable on reasonable request.
Do not use Tanqory brand/logo in a misleading “official” manner without written permission.
Merchants purchasing a theme receive use rights per Store scope (e.g., single store/multi‑store), not ownership of source.
Partner must prevent inclusion of assets with territorial/tax restrictions without authorization.
Remove or replace assets subject to infringement claims within Tanqory’s SLA; failure may result in suspension.
Partner is responsible for IP claims relating to themes and must indemnify Tanqory/merchants for infringement.
Themes may be withdrawn from the Store with prior notice, but partner must continue supporting prior purchasers under SLA.
5) Revenue Share and Payments
Revenue share from theme sales (net of taxes/fees/refunds/FX): Standard 85% Partner / 15% Tanqory; Gold (score ≥95%) receives 90%.
Paid twice monthly: Cycle 1 (1–15 paid by 25th); Cycle 2 (16–month‑end paid by 10th of following month).
Minimum payout USD 25 (or equivalent); lower balances roll forward.
Payment channels: bank transfer/PayPal/announced channels; transfer/FX fees borne by recipient unless Order Form states otherwise.
Sales/return/fee reports via Partner Portal; sales disputes must be raised within 30 days of report.
Chargebacks/refunds are deducted from that payout cycle; negative balances roll to next cycle.
Tanqory may set reserves/holds for fraud/violation/high refund risk and will notify via durable medium.
VAT/sales tax/withholding are partner’s responsibility under local law; provide complete tax info/invoices.
Tanqory promotions/discounts affect revenue base as announced.
Revenue model changes will be announced in advance and apply prospectively only.
6) Privacy and Security
Comply with DPA/Privacy Policy, App Privacy Requirements, and data laws (GDPR/UK GDPR, CCPA/CPRA, PDPA SG, LGPD, APPI, PIPA KR).
Do not collect/transmit sensitive data (PAN/CVV/track, RRN/NRIC, biometric/health/ideology/union) in themes/templates/scripts unless lawful basis and Security & Legal approval.
Use TLS ≥1.2 for all outbound traffic; no secrets in URLs/logs; no hard‑coded keys/tokens in themes.
If using analytics/SDKs, disclose, obtain region‑appropriate consent, and allow opt‑out; no profiling/targeted ads without consent.
Merchant/customer data received during support is confidential, used only to resolve issues, and deleted when no longer needed.
Cross‑border transfers must use SCC/IDTA/BCR/ADGM/DIFC or lawful derogations, with TIAs/supplementary measures per EDPB Rec 01/2020 if no adequacy.
Report data/security incidents affecting merchants/customers within 24 hours to security@tanqory.com and comply with notice laws (e.g., GDPR/UK 72h, PDPA SG 3 days, PIPA KR 24h where applicable).
Conduct privacy/security testing before submission (SAST/DAST/OWASP, dependency scan) and keep evidence.
No undisclosed telemetry; comply with AUP on spam/malware/phishing.
Maintain a plan to remove/patch vulnerable themes and notify merchants/Tanqory with remediation timeline.
7) Support, Updates, and Maintenance
Provide merchant support per SLA: acknowledge ≤1 business day (Standard), ≤8 business hours (Business), ≤2 hours Sev1 (Enterprise/Gold) unless otherwise agreed.
Fix confirmed bugs/vulnerabilities by severity: Sev1 within 72h; Sev2 within 5 business days; Sev3 as agreed; provide progress updates.
Confirmed accessibility issues (WCAG 2.1 AA) must be fixed within 14 business days unless a reasonable written exception is agreed.
Update themes for platform/API changes within sunset windows (≥90 days for breaking changes unless emergency).
Provide changelog and merchant impact, with migration guidance if needed.
Do not abandon support after withdrawal: support prior purchasers for at least 6 months post‑removal (or per written agreement) unless Tanqory specifies otherwise.
Maintain accessible support channels (email/form) and clear hours; log support requests for audit.
Theme version updates require review if functional/security changes are material.
If unable to continue maintenance, coordinate with Tanqory for handover or orderly removal.
Hotfixes for security may be released urgently; notify Tanqory in advance or promptly when feasible.
Unnotified support cessation may lead Tanqory to suspend sales/payouts until compliance resumes.
8) Marketing, Brand, and Disclosures
Theme descriptions/screenshots/demos must match actual behavior; no exaggerated or misleading claims.
Disclose use of analytics/tracking/third‑party services in the listing and the theme privacy notice.
Use Tanqory brand per Brand Guidelines only; no logos/names suggesting special endorsement without written authorization.
Campaigns/discounts must comply with advertising law and Tanqory store policies.
Clearly state compatibility limits (platform/plugin/browser versions).
No fake reviews/incentives for reviews or ranking manipulation tactics.
Update listings when features/prices/settings change to keep merchant decisions transparent.
Demo content must not contain real/sensitive data and must not infringe copyrights.
Cross‑channel promotion must avoid spam/violate AUP or commercial communications laws.
If Tanqory funds promotion, partner must cooperate with information requests and campaign conditions.
9) Suspension, Termination, and Post‑Termination
Tanqory may suspend/terminate for legal/terms violations, security threats, IP infringement, false info, lack of support, fraud, or government orders.
Emergency suspension may occur immediately to prevent harm; reasons/remediation will be communicated via durable medium when feasible.
Tanqory may hide/remove listings temporarily for severe security/functional/accessibility defects until an approved patch is available.
Partner may terminate with written notice; must still support prior purchasers per SLA.
Upon termination, delete/return Tanqory/merchant data (unless legally required to retain) and certify deletion.
Outstanding balances paid on normal cycles if no violation justifying withholding; chargebacks/refunds deducted as normal.
For material breaches, Tanqory may hold reserves or deduct proven damages.
Partner must cease using brand/tools/credentials/data after termination and remove credentials from its systems.
Surviving clauses (IP, confidentiality, liability, indemnity, governing law) remain effective.
Tanqory may transition support to another party and may delist themes to protect merchants.
Pre‑termination disputes remain subject to the defined dispute process.
10) Liability, Indemnity, and Audit
APIs/tools/services are provided “as‑is” without warranties of error‑free performance or fitness; partners must test before release.
Partner indemnifies Tanqory/merchants for claims arising from IP infringement, data/privacy breaches or legal violations, fraud, false representations, or failure to support as agreed.
Tanqory is not liable for indirect/special/lost profits; total liability is capped at fees paid in the 6 months preceding the event (unless law prohibits such limits).
Tanqory may audit code/process/test evidence/financials upon suspicion or to comply with law/regulator orders.
Partner must cooperate and provide required information within a reasonable time; non‑cooperation may lead to suspension.
Maintain separate, auditable records of sales/returns/accounts under NDA.
If vulnerabilities/security issues are found during audit, provide remediation plan/timeline and progress reports.
Notify Tanqory promptly of third‑party claims and cooperate in defense/resolution.
Liability limits do not cover fraud, willful misconduct, or gross negligence.
Disputes/complaints follow the dispute process and SIAC arbitration unless mandatory law dictates otherwise.
